Token Airdrop Terms and Conditions
BY PARTICIPATING IN THE AIRDROP, PARTICIPANT ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO THESE AIRDROP T&CS AND THE T&Cs (AVAILABLE HERE) IN THEIR ENTIRETY. THE PARTICIPANT IS RESPONSIBLE FOR MAKING ITS OWN DECISION IN RESPECT OF ITS PARTICIPATION IN THE AIRDROP AND ANY RECEIPT OF TOKENS. ANY PARTICIPATION IN THE AIRDROP IS SOLELY AT THE PARTICIPANT’S OWN RISK AND IT IS THE PARTICIPANT’S SOLE RESPONSIBILITY TO SEEK APPROPRIATE PROFESSIONAL, LEGAL AND TAX ADVICE IN RESPECT OF THE AIRDROP AND ANY RECEIPT OF THE TOKENS PRIOR TO PARTICIPATING IN THE AIRDROP AND PRIOR TO RECEIVING ANY TOKENS.
BY PARTICIPATING IN THE AIRDROP, THE PARTICIPANT EXPRESSLY ACKNOWLEDGES AND ASSUMES ALL RISKS RELATED THERETO INCLUDING (WITHOUT LIMITATION) THE RISKS SET OUT IN THE T&CS. IN NO EVENT SHALL THE ORGANIZER OR ANY MEMBER OF THE ORGANIZER GROUP BE HELD LIABLE IN CONNECTION WITH OR FOR ANY CLAIMS, LOSSES, DAMAGES OR OTHER LIABILITIES, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE AIRDROP OR THE RECEIPT OF ANY TOKENS.
THE ORGANIZER DOES NOT TAKE ANY RESPONSIBILITY FOR THE PARTICIPATION BY ANY PARTICIPANT IN THE AIRDROP AND SO EACH PARTICIPANT MUST SATISFY ITSELF BEFORE PARTICIPATING IN THE AIRDROP AND SHOULD NOT RELY ON THE ORGANIZER. THE ORGANIZER DOES NOT PROVIDE ANY RECOMMENDATION OR ADVICE IN RESPECT OF THE AIRDROP OR THE TOKENS. THE ORGANIZER HAS NOT ASSESSED THE SUITABILITY OF THE TOKENS FOR ANY PARTICIPANT. THE ORGANIZER HAS NOT CONSIDERED THE APPLICABLE LAWS, REGULATIONS AND LAWS OF THE JURISDICTION OF ANY PARTICIPANT. EACH PARTICIPANT PARTICIPATES IN THE AIRDROP AT ITS OWN RISK AND RECEIVES TOKENS AT ITS OWN RISK.
These Token Airdrop Terms and Conditions (“Airdrop T&Cs”) govern the participation in and receipt of tokens (“Tokens”) through the airdrop program (“Airdrop”) organized by Flame Foundation (“Organizer”). By participating in the Airdrop, you (“Participant”) agree to be bound by these Airdrop T&Cs. These Airdrop T&Cs are supplementary to, and incorporate by reference, the Flame Terms and Conditions (the “T&Cs” and together with Airdrop T&Cs, the “Terms”).
- Eligibility:
- Participant must comply with all applicable laws and regulations.
- Participant must provide accurate and complete information as required for participation in the Airdrop.
- Organizer reserves the right to verify Participant's identity and eligibility.
- The Organizer at its sole discretion will determine the eligibility criteria for participation in the Airdrop, including the amount of Tokens to be distributed to eligible Participants that satisfy specified criteria. Different eligible Participants may receive different amounts of Tokens in any particular Airdrop depending on the criteria determined by the Organizer for such Airdrop. The Organizer will have no obligation to notify potential Airdrop participants of the eligibility criteria for any Airdrop prior to the execution of such Airdrop.
- Organizer reserves the sole and absolute right to disqualify any proposed Participant it deems ineligible for an Airdrop (be it under these Airdrop T&Cs, the T&Cs or by having engaged in any conduct that the Organizer considers inappropriate or unacceptable).
- Participant must not be a Prohibited Persons (as defined in our T&Cs).
- Prohibited Conduct: Participants shall not:
- use multi-accounts and/or multi-wallets;
- attempt to cheat or hack the Airdrop or the Tokens;
- carry out any kind of spamming; or
- behave in a manner which the Organizer deems offensive or inappropriate, and any such behaviour will result in all of the Participant’s accounts and/or wallets being permanently banned from all of the Organizer’s Airdrops.
- Airdrop Details:
- Airdrop Period: The Airdrop will be conducted during the specified period, as determined by the Organizer (the “Airdrop Period”).
- Participation Requirements: Participant must follow the specified instructions set out in the Schedule hereto and/or such other instructions as are provided by the Organizer from time to time to participate in the Airdrop.
- Token Allocation: The number of Tokens allocated to each Participant will be determined solely by the Organizer, and such allocation may vary among Participants.
- No Purchase Required: Participation in the Airdrop does not require any purchase or payment although there may be transaction fees payable by the Participant to receive and/or claim their Tokens.
- Token Distribution:
- Token Distribution: The distribution of Tokens will occur after the Airdrop Period ends, subject to successful verification and compliance with these Airdrop T&Cs.
- Wallet Requirement: Participants must provide a compatible wallet address capable of receiving the Tokens. Failure to provide a valid wallet address may result in the forfeiture of Tokens.
- Token Transfer: Tokens will either be transferred to the designated wallet addresses provided by Participants within a reasonable timeframe or be claimable by such designated wallet, subject to technical limitations or delays. There may be transaction fees payable by the Participant to receive and/or claim such Tokens.
- Use of Tokens:
- Token Usage: Participants acknowledge and agree that the Tokens received through the Airdrop may have specific usage limitations, such as utility within a specific platform or ecosystem, and may have no monetary value.
- No Investment Advice: Tokens received through the Airdrop are not intended as investment advice, and each Participant acknowledges that their value (if any) may fluctuate and that no guarantees are made regarding future value (if any).
- Participant Representations and Warranties:
- Compliance: Participant represents and warrants that they will comply with all applicable laws and regulations in relation to the Airdrop and the use of Tokens.
- Accuracy of Information: Participant represents and warrants that all information provided during the Airdrop registration process is true, accurate, and complete.
- Participant’s Technical Skills: Participant represents and warrants that it has at least a basic degree of understanding of the operation, functionality, usage, storage, transmission mechanisms and other material characteristics of cryptocurrencies, blockchain-based software systems, cryptocurrency wallets or other related token storage mechanisms, blockchain technology and smart contract technology.
- Disclaimers:
- To the maximum extent permitted by all applicable laws, regulations and rules and except as otherwise provided in these Airdrop T&Cs, the Organizer Group (as defined below) hereby expressly disclaims its liability and shall in no case be liable to a Participant or any other person for:
- postponement, suspension and/or abortion of the Airdrop;
- any failure, or disruption to, the Airdrop, the operations of the Organizer or any other technology (including but not limited to smart contract technology) associated therewith, due to any reason, including but not limited to occurrences of hacks, mining attacks (including but not limited to double-spend attacks, majority mining power attacks and “selfish-mining” attacks), cyber-attacks, distributed denials of service, errors, vulnerabilities, defects, flaws in programming or source code or otherwise, regardless of when such failure, malfunction, breakdown, or disruption occurs;
- any failure, malfunction, virus, error, bug, flaw, defect in the technology connected with or use for affecting the Tokens or a Participant’s participation in the Airdrop;
- any prohibition, restriction or regulation by any government or regulatory authority in any jurisdiction applicable to the Tokens or a Participant’s participation in the Airdrop;
- loss of possession of the credentials for accessing, or loss or destruction of the private keys of, any wallet and/or the Participant’s designated wallet addresses, in any manner and to any extent;
- failure to disclose information relating to the progress of the Airdrop;
- any risks associated with a Participant’s participation in the Airdrop and/or a Participant’s use of the Tokens; and
- all other risks, direct, indirect or ancillary, whether in relation to a Participant’s participation in the Airdrop and/or a Participant’s use of the Tokens which are not specifically or explicitly contained in or stated in these Airdrop T&Cs.
- Participant expressly acknowledges and agrees that:
- Participation in the Airdrop does not create any right, entitlement, or legitimate expectation to receive any Tokens;
- The Organizer Group retains complete and sole discretion in determining whether to distribute Tokens to any Participant, regardless of such Participant's compliance with these Airdrop T&Cs or fulfilment of any participation requirements;
- No Participant shall have any claim against the Organizer for failure to receive Tokens, even if other Participants receive Tokens; and
- The Organizer's decision regarding Token distribution is final and binding, and the Organizer is not required to provide any justification for its decisions regarding Token distribution.
- Not to engage in any activities that are designed to obtain more airdrop Tokens than the Participant is entitled to.
- The Organizer Group does not provide any financial, tax, legal, or investment advice regarding the airdrop or any related cryptocurrencies, digital assets, or tokens. The Organizer Group is not Your broker, agent, intermediary, or advisor and does not have a fiduciary obligation to you. Participants are solely responsible for making independent decisions regarding their participation in the Airdrop.
- To the extent any Participant believe they should have received any airdropped Tokens based on any documentation released by the Organizer Group from time to time, such documentation does not entitle any Participant to any Tokens or to participate in the Airdrop and therefore have no claim for such Tokens.
- For the purposes of these Airdrop T&Cs, “Organizer Group” means the Organizer and each of its Affiliates. "Affiliate" with respect to any person, means any other person directly or indirectly controlling, controlled by or under common control with such person; and with respect to the Organizer, means any other person directly or indirectly controlling, controlled by or under common control with such person.
- To the maximum extent permitted by all applicable laws, regulations and rules and except as otherwise provided in these Airdrop T&Cs, the Organizer Group (as defined below) hereby expressly disclaims its liability and shall in no case be liable to a Participant or any other person for:
- Limitation of Liability and Indemnification
- To the maximum extent permitted by the applicable laws, regulations and rules:
- the Organizer Group and the Indemnified Persons (as defined below) shall not be liable for any indirect, special, incidental, consequential or other losses of any kind, in tort, contract or otherwise (including but not limited to loss of revenue, income or profits, and loss of use or data), arising out of or in connection with a Participant’s participation in the Airdrop;
- without prejudice to the foregoing, each Participant hereby agree that the aggregate liability of the members of the Organizer Group, in tort, contract or otherwise, arising out of or in connection with the participation in the Airdrop shall in any event be limited to US$1.00; and
- each Participant hereby agrees to waive all rights to assert any claims against the Organizer Group and/or the Indemnified Persons under such applicable laws, regulations and rules.
- To the maximum extent permitted by the applicable laws, regulations and rules, each Participant shall indemnify, defend, and hold the Organizer Group and the Indemnified Persons harmless from and against any and all claims, damages, losses, suits, actions, demands, proceedings, expenses, and/or liabilities (including but not limited to reasonable legal fees incurred and/or those necessary to successfully establish the right to indemnification) filed/incurred by any third party against any member of the Organizer Group or the Indemnified Persons arising out of a breach by the Participant of any warranty, representation, or obligation hereunder.
- For the purposes of these Airdrop T&Cs, “Indemnified Persons” means the Organizer Group and each of their respective subsidiaries, related companies, Affiliates, directors, officers, employees, agents, service providers, successors, and permitted assignees.
- To the maximum extent permitted by the applicable laws, regulations and rules:
- Governing Law and Jurisdiction:
PLEASE READ THIS CLAUSE CAREFULLY BECAUSE IT LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.
- All rights and obligations hereunder shall be governed by the laws of the Cayman Islands, without regard to the conflicts of law provisions of such jurisdiction.
- Except for any disputes, claims, suits, actions, causes of action, demands or proceedings (collectively, “Disputes”) in which either party seeks injunctive or other equitable relief for the alleged unlawful use of its intellectual property, including, without limitation, copyrights, trademarks, trade names, logos, trade secrets or patents, the Participant and the Organizer (i) waive the Participant’s and the Organizer’s respective rights to have any and all Disputes arising from or related to the Terms resolved in a court, and (ii) waive the Participant’s and the Organizer’s respective rights to a jury trial. Instead, the Participant and the Organizer will arbitrate Disputes through binding arbitration (which is the referral of a Dispute to one or more persons charged with reviewing the Dispute and making a final and binding determination to resolve it instead of having the Dispute decided by a judge or jury in court).
- Any Dispute arising out of or related to the Terms is personal to the Participant and the Organizer and will be resolved solely through individual arbitration and will not be brought as a class arbitration, class action or any other type of representative proceeding. There will be no class arbitration or arbitration in which an individual attempts to resolve a Dispute as a representative of another individual or group of individuals. Further, a Dispute cannot be brought as a class or other type of representative action, whether within or outside of arbitration, or on behalf of any other individual or group of individuals.
- Each party will notify the other party in writing of any Dispute within 30 days of the date it arises, so that the parties can attempt in good faith to resolve the Dispute informally. The Participant’s notice must include (i) the Participant’s name, postal address, email address, and telephone number, (ii) a description in reasonable detail of the nature or basis of the dispute, and (iii) the specific relief that the Participant is seeking. If the Participant and the Organizer cannot agree how to resolve the dispute within 30 days after the date notice is received by the applicable party, then either the Participant or the Organizer may, as appropriate and in accordance with this Section 8, commence an arbitration proceeding. Any arbitration will occur in the Cayman Islands. Arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of the Judicial Arbitration and Mediation Services (“JAMS”), which are incorporated by reference. The courts located in the Cayman Islands will have exclusive jurisdiction over any appeals and the enforcement of an arbitration award.
- As limited by applicable law, the Terms and the applicable JAMS rules, the arbitrator will have (i) the exclusive authority and jurisdiction to make all procedural and substantive decisions regarding a dispute, including the determination of whether a dispute is arbitrable, and (ii) the authority to grant any remedy that would otherwise be available in court; provided, however, that the arbitrator does not have the authority to conduct a class arbitration or a representative action, which is prohibited by the Terms. The arbitrator may only conduct an individual arbitration and may not consolidate more than one individual’s claims, preside over any type of class or representative proceeding or preside over any proceeding involving more than one individual.
- The rules of JAMS and additional information about JAMS are available on the JAMS website (https://www.jamsadr.com/). By agreeing to be bound by the Terms, the Participant either (i) acknowledges and agrees that the Participant has read and understands the rules of JAMS, or (ii) waives the Participant’s opportunity to read the rules of JAMS and any claim that the rules of JAMS are unfair or should not apply for any reason.
- General Terms:
- Intellectual Property: Participant acknowledges and agrees that all intellectual property rights related to the Airdrop and the Tokens, including but not limited to trademarks, logos, and content, are the sole property of the Organizer.
- Modification and Termination: The Organizer reserves the right to modify, suspend, or terminate the Airdrop or these Airdrop T&Cs at any time without prior notice.
- The Tokens are not intended to constitute securities of any form, units in a business trust, units in a collective investment scheme or any other form of investment in any jurisdiction. Neither these Airdrop T&Cs nor the T&Cs constitute a prospectus or offer document of any sort and are not intended to constitute an offer of securities of any form, units in a business trust, units in a collective investment scheme or any other form of investment, or a solicitation for any form of investment in any jurisdiction. No regulatory authority has examined or approved of these Airdrop T&Cs or the T&Cs. No such action has been or will be taken by the Organizer under the laws, regulatory requirements or rules of any jurisdiction.

- Score a certain amount of Consumer Credits in order to be eligible for an Airdrop, this amount will be set by the Flame Foundation.
- Hold an Emby NFT at the time of Snapshot.
- KYC’d individual
- Not fall within any of the Excluded countries or foul of any PEP guidelines laid out above and in Ts & Cs.
- Agree to terms and conditions.
